1. Introduction

Welcome to TALKFORCE ("Company," "we," "us," or "our"), a DBA of Comvoice Inc and Retro Guestbook LLC, headquartered in Prescott, Arizona. These Terms and Conditions ("Terms") govern your access to and use of our push-to-talk communication services, products, and website located at www.talkforceptt.com ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

2. Acceptance of Terms

By using our Services, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use our Services.

3. Description of Services

TALKFORCE provides push-to-talk communication services utilizing cellular networks (AT&T, Verizon, T-Mobile) and WiFi connectivity, including voice, messaging, GPS tracking, and fleet management features. Our Services are reliant on underlying carriers, and we do not guarantee the availability, quality, or performance of the Services. We reserve the right to modify or discontinue any part of our Services at any time without notice.

4. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this eligibility requirement and that all information you provide is accurate and up-to-date.

5. User Obligations

• Account Information: You agree to provide accurate, current, and complete information when creating an account and to update it promptly if any information changes.
• Compliance: You agree to comply with all applicable laws, regulations, and these Terms when using our Services.
• Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Notification: You agree to notify us immediately of any unauthorized use of your account or any other security breaches.

6. Prohibited Uses

You agree not to use our Services to:

• Engage in any unlawful, fraudulent, deceptive, or malicious activities.
• Transmit any harmful or disruptive content, including viruses, malware, or any other harmful code.

7. Fair Use Policy

To ensure equitable access for all users, we have implemented a Fair Use Policy:

• Data Usage: Unlimited data plans are subject to a fair usage threshold per billing cycle. Exceeding this threshold may result in reduced speeds, additional charges, or suspension of Services.
• Network Management: We may employ network management practices to prevent congestion and ensure optimal performance for all users.
• Monitoring: We reserve the right to monitor data usage patterns to enforce this policy.

8. Fees and Payment

• Billing: You agree to pay all charges associated with your account, including taxes, fees, and any other amounts due under these Terms.
• Automatic Renewal: Agreements automatically renew on an annual term unless canceled in accordance with Section 9. Charges for the renewal term will be at our then-current rates.
• Payment Method: You authorize us to charge your designated payment method for all amounts due.
• Late Payments: Late payments may incur additional fees, interest charges, and could result in suspension or termination of Services.
• No Prorated Refunds: All fees are non-refundable. We do not offer prorated refunds for any unused portion of the Services.

9. Cancellation and Termination

• Cancellation by User: You may terminate your account by providing us with a written 30-day notice prior to the end of your current annual term. Notice must be sent via our contact form or mailed to our physical address.
• Automatic Renewal: Failure to provide timely notice will result in automatic renewal of your agreement for an additional annual term.
• Termination by Company: We reserve the right to suspend or terminate your access to our Services at any time, with or without cause, including for violations of these Terms or any applicable laws.
• Effects of Termination: Upon termination, all rights granted to you under these Terms will cease immediately. You remain responsible for all charges incurred up to the date of termination.

10. Transfer of Agreements

We reserve the right to assign, transfer, or delegate our rights and obligations under these Terms, in whole or in part, to any person or entity, including any successors or assigns, without your prior consent. You may not assign or transfer any rights or obligations under these Terms without our prior written consent.

11. Equipment Warranty and Replacement

• No Warranties: All equipment provided by TALKFORCE is offered "as is" without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Discretionary Replacement: Equipment may be replaced at our sole discretion on full-price agreements that show signs of manufacturer defects. To be eligible for replacement, you must notify us within 30 days of discovering the defect.
• Exclusions: This policy does not cover equipment that shows signs of abnormal usage, misuse, abuse, neglect, unauthorized alteration, or damage caused by external factors such as accidents, water, fire, or other hazards.
• Limitation: Replacement of equipment is limited to the original purchaser and is not transferable.

12. Limitation of Liability

To the fullest extent permitted by law:

• No Liability: TALKFORCE, Comvoice Inc, Retro Guestbook LLC, and their affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Services or equipment.
• Service Reliability: We make no guarantees regarding the availability, quality, or performance of the Services or equipment, which are reliant on underlying carriers. Service disruptions or failures may occur beyond our control.
• Maximum Liability: Our total cumulative liability to you for any and all claims arising from or related to these Terms, the use of the Services, or equipment shall not exceed the total amount you have paid to us in the six (6) months preceding the event giving rise to the liability.

13. Indemnification

You agree to indemnify, defend, and hold harmless TALKFORCE, Comvoice Inc, Retro Guestbook LLC, and their affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Services or equipment, violation of these Terms, or infringement of any intellectual property or other right of any person or entity.

14. Privacy Policy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of information as described in the Privacy Policy.

15. Intellectual Property

• Ownership: All content, trademarks, service marks, logos, and data on our website and Services are the exclusive property of TALKFORCE, Comvoice Inc, Retro Guestbook LLC, or their licensors, and are protected by applicable intellectual property laws.
• Restrictions: You may not copy, reproduce, modify, create derivative works from, distribute, publicly display, or exploit in any way any content, software, or materials available on or through the Services without our prior written consent.

16. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Yavapai County, Arizona, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

17. Changes to Terms

We reserve the right to modify these Terms at any time in our sole discretion. Any changes will become effective immediately upon posting to our website. We will provide notice of significant changes. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

19. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

20. Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms if such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TALKFORCE regarding your use of the Services and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.

22. Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision shall be null and void.

23. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue legal remedies in accordance with Section 16.
